Terms and Conditions of Sale.

ORDERS: All orders are accepted on the understanding that the following terms apply to each and every business trans- action. All orders must confirm in writing, or email.

NEW ACCOUNTS: On placing of first order, customers are requested to provide buyers name, full company address, phone and fax number, email address, banking address and two trade references, VAT and Company registration number.

CREDIT ACCOUNTS: Initial orders will be on a pro-forma basis. Following acceptable references, a credit account will then be opened and goods invoiced on account, otherwise a pro-forma invoice will be issued. Trade references should be from brand name suppliers with whom several transactions have been made during the last six months.

TERMS FOR CREDIT ACCOUNT CUSTOMERS: Invoices are payable strictly within the credit terms agreed. Failure to settle within the agreed term may result in the suspension of further deliveries. We reserve the right to impose interest on overdue accounts, at a 3% charge per month, calculated on a daily basis and due immediately.

RETENTION OF TITLE: Ownership of the goods shall not pass to the customer until the company has received in full all sums due to it in respect of the goods and all other sums which are or which become due to Scanstrut from the customer on any account.

TERMS FOR NON-CREDIT ACCOUNT HOLDERS: Pro-forma invoice payment must be received as cleared funds before the goods are released.

PRICE AMENDMENTS: All prices are subject to alteration or correction without notice. Prices current on the day of order confirmation will be charged and prices should be confirmed with Scanstrut. We make every effort to give prior notice of any price changes.

CLAIMS: Damage must be reported in writing to both the freight carriers and to Scanstrut within 3 days of delivery, signed for as “damaged, contents unexamined”. Scanstrut are not liable for any compensation relating to goods damaged during transit.

MISSING PARCEL(S): If any parcel does not arrive within 14 days of invoice date, we must be notified in writing immedi- ately.

CARRIAGE (FREIGHT): Please note that all shipments are sent ex-works (unless otherwise stated) and therefore freight charges will be added to any invoice. Scanstrut are not liable to pay the duty or charges required to clear goods through customs.

WARRANTY: Scanstrut products are warrantied for 24 months from invoice date against manufacturing defect, provided the product has been used for the intended purpose.

Faulty goods will be replaced or repaired at the discretion of Scanstrut, and must first be returned for inspection. The cost of shipping return shall be paid by the Customer. Scanstrut reserves the right to refuse badly packaged returns. Scanstrut reserve the right to replace items and accepts no responsibility for installation or labour charges relating to the removal, return and replacement of warranty items.

Scanstrut reserves the right to modify and change the design and specification of its products without notice. Such changes will not entitle the customer to claim replacement or refund under this warranty.

This warranty is the sole and exclusive remedy for the customer and Scanstrut excludes all other liabilities to the fullest extent permitted by law.

Scanstrut accepts no liability to indemnify the customer against any loss of profit or turnover which he or his customer or any other person may sustain in consequence of the failure of any faulty or unfit article supplied by Scanstrut

DESIGN AND IP: Requests from Scanstrut to a client or third party for technical information and CAD, or requests to a client or third party for approval of any Scanstrut design do not suggest or imply any input on design. All intellectual prop- erty in any design information submitted (including copyright and design right) remains the property of Scanstrut, unless expressly stated otherwise in writing by Scanstrut.

DIVISIBILITY CLAUSE: This contract is divisible. Each delivery made hereunder shall be deemed to arise from a separate contract and shall be invoiced separately; any invoice for a delivery shall be payable in full in accordance with the terms of payment provided for herein, without reference to and notwithstanding any defect of default in delivery of any other instalment.
